BIYU Creator Program – Terms and Conditions

These Terms and Conditions ("Terms") govern participation in the BIYU Creator Program ("Program"). By submitting content to BIYU, the creator ("Creator") agrees to be bound by these Terms.
1. Nature of the Program
The BIYU Creator Program operates under a Creator Economy business model. Creators are compensated for the creation and licensed use of original content that may be utilized by BIYU for revenue-generating activities such as, but not limited to:
E-commerce sales and promotions
Media and digital channels
Advertising and sponsorship campaigns
Participation in the Program does not constitute employment, partnership, investment, profit-sharing, or ownership in BIYU.
2. Eligibility
To participate in the Program, a Creator must:
Be at least eighteen (18) years old or have legal parental/guardian consent
Have the legal capacity to enter into binding agreements
Submit original content owned or lawfully controlled by the Creator
Comply with all BIYU content guidelines and applicable laws
BIYU reserves the right to approve or reject any Creator or content submission at its sole discretion.
3. Content Ownership and License
3.1 Ownership
Creators retain ownership of their original content, subject to the license granted to BIYU under these Terms.
3.2 License Grant
By submitting content, the Creator grants BIYU a non-exclusive, worldwide, royalty-bearing, sublicensable license to:
Use, reproduce, distribute, display, perform, adapt, edit, and promote the content
Utilize the content across BIYU-owned platforms, partner platforms, and marketing channels
Use the content for commercial and promotional purposes
This license remains effective unless otherwise terminated in accordance with these Terms.
4. Royalty Pool and Creator Compensation
4.1 Royalty Pool
BIYU allocates a portion of its revenues derived from e-commerce, media channels, and sponsorships into a Royalty Pool. This pool is used to compensate Creators for the licensed use of their content.
4.2 Royalty Structure
Creators receive a fixed content usage royalty for each approved content submission.
The royalty amount ranges from PHP 50 to PHP 100 per approved content, subject to BIYU’s internal criteria and guidelines.
Royalty payouts are fixed per content and do not fluctuate based on individual content performance, views, sales, or revenue generated.
4.3 Royalty Redemption and Limitations
Royalty income is non-cash and non-withdrawable.
Royalty earnings may only be redeemed for products and services available within the BIYU Members Dashboard, subject to availability and platform rules.
Royalty earnings cannot be converted to cash, transferred, sold, or withdrawn.
BIYU reserves the right to determine eligible products, redemption methods, and applicable conditions.
4.4 No Revenue Share, Investment, or Cash Entitlement
The royalty payment:
Does not represent a direct percentage of sales or profits
Is not a revenue-sharing arrangement per individual transaction
Does not constitute cash income or cash-equivalent value
Is not an investment return or guaranteed income
Does not grant equity, ownership, or profit participation in BIYU
5. Content Approval and Usage
All content submissions are subject to review and approval by BIYU.
BIYU may determine whether content is suitable for use, monetization, or distribution.
Only approved and utilized content qualifies for royalty payment.
BIYU is under no obligation to use or publish any submitted content.
6. Payment Terms
6.1 Royalty Credits
Approved royalty amounts are credited to the Creator’s BIYU account as royalty credits.
Royalty credits may only be used for product redemption within the BIYU platform.
6.2 Cash Earnings (Non-Royalty)
Cash withdrawals are not allowed for royalty credits.
Cash withdrawal eligibility applies only to earnings derived from:
Product sales commissions
Subscription-related earnings
Indirect referral incentives (if applicable)
Such cash earnings are governed by separate payout rules and requirements.
6.3 Taxes and Fees
Creators are solely responsible for any applicable taxes, fees, or government obligations related to cash earnings.
Royalty credits redeemed for products are not considered cash payouts.
7. Creator Representations and Warranties
The Creator represents and warrants that:
The submitted content is original and does not infringe any third-party rights
All necessary permissions, releases, and consents have been obtained
The content complies with applicable laws, regulations, and platform policies
Participation in the Program does not violate any other agreements
8. Prohibited Content and Conduct
Creators may not submit content that:
Is illegal, misleading, or deceptive
Infringes intellectual property or privacy rights
Contains hate speech, violence, or explicit material
Promotes scams, investments, or prohibited products
BIYU reserves the right to remove content or terminate participation for violations.
9. Termination
BIYU may suspend or terminate a Creator’s participation:
For violation of these Terms
For submission of fraudulent or infringing content
At BIYU’s discretion, with or without prior notice
Upon termination, BIYU may continue to use previously licensed content unless otherwise required by law.
10. Limitation of Liability
To the maximum extent permitted by law, BIYU shall not be liable for:
Indirect, incidental, or consequential damages
Loss of income or expected earnings
Decisions regarding content approval or usage
11. Indemnification
The Creator agrees to indemnify and hold BIYU harmless from any claims, damages, or expenses arising from:
Breach of these Terms
Intellectual property infringement
Misrepresentation related to submitted content
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction where BIYU is registered, without regard to conflict-of-law principles.
13. Amendments
BIYU reserves the right to modify these Terms at any time. Continued participation in the Program constitutes acceptance of the updated Terms.
14. Entire Agreement
These Terms constitute the entire agreement between BIYU and the Creator regarding participation in the BIYU Creator Program and supersede all prior understandings or representations.
By participating in the BIYU Creator Program, the Creator acknowledges that they have read, understood, and agreed to these Terms and Conditions.
